Legal Study on the Hostile Takeover Disciplines In Korea, hostile takeovers rarely take the form of a public tender offer, but are in many cases carried out clandestine acquisition of block shares or through an alliance with shareholders acting in concord. With this sequence of hostile takeovers, fair and open disciplines for competition for corporate control have not been well established and a takeover attempt typically leads to litigation the war of attrition. Needless to say, interests of minority shareholders are not protected. In order insure the hostile takeover accomplishes the expected roles of distributing economic resources effectively, improving Corporate Governance and monitoring the management by directors, it is proposed an obligation be imposed on directors to take neutrality principle in a hostile takeover. But once the defence against a takeover attempt is justified by the established hostile takeover disciplines, any unreasonable legal restrictions on defensive measures must be removed And the general shareholders must be protected by a mandatory bid rule and the right to approve defensive measures to be adopted by directors.

임베디드 보드 기반의 교육용 차동 구동 로봇 플랫폼 개발

This paper proposes a mobile robot platform for education that can experiment with various autonomous driving algorithms such as obstacle avoidance and path planning. The platform consists of a robot module and a remote controller module, both of which are based on the Arduino Nano 33 IoT embedded board. The robot module is designed as a differential drive type using two encoder motors, and the speed of the motor is controlled using PID control. In the case of the remote controller module, a command to control the robot platform is received with a 2-axis joystick input, and an elliptical grid mapping technique is used to convert the joystick input into a linear and angular velocity command of the robot. WiFi and Zigbee are used for communication between the robot module and the remote controller module. The proposed robot platform was tested by measuring and comparing the linear velocity and angular velocity of the actual robot according to the linear velocity and angular velocity commands of the robot generated by the input of the joystick.

음향적 흐름을 이용한 혈액형 분석을 위한 새로운 방법

Accurate blood typing is the crucial factor for safe and successful blood transfusion and plays a very important role in organ transplantation and genetic information of forensic medicine. Microfluidic devices have been developed to overcome the limitations of the conventional blood typing methods. In this study, we demonstrate a Lamb wave-based device for simple blood typing in a sample droplet and we propose new indices for quantitative and accurate blood typing. Using Lamb wave-induced acoustic streaming in the droplet, the blood sample and the reagent can be mixed rapidly and red blood cells start to form clumps, which is agglutination. Based on the recorded image and video, the intensity of transmitted light through the sample droplet is evaluated to determine the blood type. Effect of the concentration of suspended red blood cells was evaluated and we found that 10% concentration of suspended red blood cells was suitable to observe the difference between aggregated and non-aggregated samples. Finally, sample with blood type A could be determined using anti-A reagent in our Lamb wave-based device. Our device enables simple and accurate blood typing, which can be applied to resource-limited environments.

엘리트 양궁 선수들의 영양 보조물 섭취 실태와 도핑 인식에 관한 연구

본 연구는 대학과 실업 엘리트 양궁 선수들을 대상으로 운동영양 보조물섭취 실태와 도핑에 관한 인식을 조사 분석하고자 한다. 그래서 양궁 선수, 부모, 일선지도자들에게 올바른 영양 보조물 섭취와 도핑 의식을 갖게 함으로써 선수의 건강과 운동수행능력 향상을 도모하는데 그 목적이 있다. 이를 위해 엘리트 양궁선수 중 대학 84명, 실업 124명 총 208명을 대상으로 성별, 소속, 종목에 따라 설문조사를 실시하였다. 연구 분석은 영양 섭취 보조물의 필요성, 빈도, 섭취량, 섭취 동기, 도핑 연관성과 관련하여 교차분석을 실시하였다. 연구 결과 영양보조물 인식은 여성이 남성에 비해 실업선수가 대학선수보다 운동영양보조물의 필요성을 더 높이 인지하였다. 종목별로 살펴보면, 리커브가 컴파운드 보다 운동영양보조물이 더 필요하다고 인식하는 것으로 나타났다. 도핑교육 필요성에도 성별, 소속, 종목별 선수 모두 공감하는 것으로 나타났다. 이와 같은 결과를 바탕으로 엘리트 양궁선수들의 운동영양보조물에 대한 올바른 섭취와 반도핑 교육은 물론 스포츠 윤리 교육이 동시에 이루어질 필요가 있음을 제언하였다. This study aims to explore the nutritional supplement intake and doping consciousness among university and general archery players. It also provides information about the correct nutritional intake supplements and mindfulness regarding doping. In addition, it is the with the ultimate goal of improving the athlete s health and athletic performance. For this purpose, data was collected from 84 university archery players and 124 professional archery players and the questionnaire included basic questions about gender, affiliation, and type of archery. The data analysis was conducted to evaluate the frequency that sports nutrition intake supplements were used. Furthermore, intake experience, intake motivation and doping perception were examined in a cross-analysis to investigate the doping information acquisition path. The results were as follows: the perception of nutritional supplements was higher in women than in men, professional archery players were more aware of the need for nutritional supplements than college players, and the recurve archers recognized that they needed more athletic supplements than the compound players. It should also be noted that all players were sympathetic to the need for doping education. Based on these results, it was suggested that archers should be better educated about proper nutritional supplements and anti-doping activities as well as sports ethics education.

사회적협동조합을 통한 마을만들기에 대한 시론적 연구

도시재생 분야에서의 마을만들기는 주민의 자발적 참여와 소통을 바탕으로 하여 다양한 영역에서 삶의 질을 높이는 활동을 통해 마을공동체의 복원과 보존을 추진한다고 할 수 있다. 이러한 마을만들기가 지속가능하려면 교육ㆍ문화ㆍ예술 등 공동체의식의 고양을 통한 ‘마을의 정체성’이라는 정신적 부문의 역할과 경제ㆍ사회ㆍ복지 등 ‘삶의 질적 향상’이라는 경제적 부문의 역할이 마을의 균형추로서 작용할 수 있어야 할 것이다. 본 연구는 제3의 섹터 중 하나로서 주목을 받고 있는 사회적협동조합이 경제적 지표를 마련하는 토대로서 마을만들기를 지속가능한 사업으로 추진하는데 동력으로서의 역할을 할 수 있는지 여부를 타진하기 위하여 지속가능한 마을만들기를 주제로 하되 사회적협동조합을 주요논점으로 제시하여 분석하고, 경제적 지표로서의 사회적협동조합의 한계와 이에 대한 대안을 제시하여 사회적협동조합을 통한 마을만들기의 올바른 방향을 모색하였다. 마을만들기는 마을 고유의 특성에 따라 지속적으로 변화하고 성장해갈 수밖에 없는 유기체로 인식하고 접근해야 한다는 연구자의 주장대로라면 변화를 거듭하는 마을만들기에 대하여 일반화된 전형을 제시하기가 어려우며, 사례에서의 문제점과 대안 역시 일반화하는 데는 상당한 난관이 있다. 그렇다고 문제발생의 원인이나 결론이 다르다고 해서 해법으로 작용한 대안에 대하여 간과할 이유는 없다. 좋은 사례든 나쁜 사례든 사례를 통한 분석과 대안 모색은 해법을 찾는데 분명히 도움이 될 것이기 때문이다. 지원을 아끼지 않되 자율성을 통제하지 않고, 성장을 지켜보되 자조성을 훼손하지 않아야 마을은 마을주민들의 참여에 의해 지속적으로 성장할 수 있을 것이다.

점찰사상의 보급을 위한 현대적 포교 프로그램- 템플스테이와의 접목을 중심으로 -

This presenter thinks that the Idea of 『Jeomchalseonakeopbogyeong(占察善惡業報經)』has the value applicable to a modern propagation program-Temple Stay program. It’s because the contents of 『Jemchalseonakeopbogyeong(占察善惡業報經)』have teachings which can awaken people to how to lead their life at present by looking back on their own karma in the course of their living. Particularly, this presenter thinks that 『Jeomchalseonakeopbogyeong(占察善惡業報經)』 is equipped with modern timeliness in that it is a Buddhist scripture which guides the way so that people can gain an insight into reality and lead a happy life in the law of casuality. Therefore, this presenter is intending to take note of the possibility of logical development that if the contents of 『Jeomchalseonakeopbogyeong (占察善惡業報經), which is a ideological foundation of Jeomchalbeop, can induce expediential effects of Buddhism propagation in the premise that the contents could be one of the very interesting and informative programs if they should be applied to the Temple Stay program by linking them to mindfulness. 『占察善惡業報經』의 사상이 현대적 포교프로그램인 템플스테이 프로그램에 입장에서 응용할 가치가 있다고 본다. 왜냐하면 『占察善惡業報經』은 중국이나 한국에서 불교를 대중적으로 포교하는데 중요한 역할을 해왔고, 그 수행방편을 통해 많은 불자들의 안심입명과 종교적, 개인적 성취를 도와주었기 때문이다. 『占察善惡業報經』의 내용에는 그동안 살아온 자신의 업을 돌아보고 현재 어떻게 삶을 살아가야 하는지를 자각하게 하는 가르침이 있다. 특히 인과법칙 속에서 과거의 업을 참회하고, 현실을 통찰하여 행복한 삶을 영위할 수 있도록 안내해 주는 경전이라는 점에서 현대적인 시의성을 구비하고 있다고 본다. 따라서 본 연구자는 첫째, 『占察善惡業報經』에 나타난 참회의 내용이 고통과 위기의 시간에 살고 있는 내담자와 상담자에게 고통과 위기에서 벗어날 수 있는 예방교육으로서 연관성이 있음을 강조한다. 둘째, 상담심리학적인 측면에서 실천적 이해를 증진 시키는 방편으로 가치가 있음을 기술한다. 즉 점(占)찰의 상징을 현재 자신의 삶에 어떻게 적용할 수 있는지와 번뇌를 일으키는 마음작용을 알아차리는 도구로 활용하여 자신의 삶의 가치를 증진 시키는데 방편으로 활용할 수 있음을 조명해 보고자 한다. 그러므로 점찰법의 사상적 토대가 되는 『占察善惡業報經』의 내용을 마음챙김과 결부시켜 템플스테이 프로그램에 응용한다면 매우 재미있고 유익한 프로그램의 하나가 될 수 있다는 전제 속에서 불교 포교의 방편적인 효과로 유도할 수 있다는 논리를 전개하고자 하는 점에 주목하고자 한다.
